Poison pill

What's the definition?
A tactic used by a corporation to discourage the hostile takeover by another company. Using this strategy, a company’s stockholders (not including the hostile acquirer) are given the right to purchase shares of stock in their company at a significant discount, thereby making the takeover more expensive and less attractive to the acquirer.
