Book Description
****Includes CD of Forms, Letters, and More****

From identifying a target and calculating a price, to negotiating terms and just about every other aspect of an M&A transaction through the post closing transition period, this book leads the small company owner or executive through the entire acquisition procedure. A company with annual sales of $2 to $100 million can use Let’s Buy a Company to dramatically increase revenues, profits, and its enterprise value. After all, why be a target when you can use the techniques of billion dollar companies to expand yours?

The short, easy-to-read chapters in this book, provide a complete, thorough, and comprehensive guide to using one or a series of acquisitions to build your company as well as the compensation and equity value it can offer you. Each chapter also includes pertinent examples from the author’s work with a wide variety of small companies with large company growth objectives. For example, on occasion, Rust has helped sell smaller companies as a means of converting their enterprise value into a cash return for their owners.

In addition to the hints, guides and walkthroughs, Let’s Buy a Company also includes a Workbook on a CD-ROM that gives you actual examples of letters, proposals, forms, and financial spreadsheets used in each step of the acquisition process. These real-life examples can be accessed in Microsoft Word™ or Excel™, modified by you, and used in your own acquisition search, evaluation, pricing, negotiation, and closing. All of the Excel™ spreadsheets include not just the numbers but the underlying formulas used by the author and his clients for their acquisitions, mergers, and company sales.

Now that you’ve got all these tools at your fingertips, Let’s Buy a Company!

5 out of 5 starsSound, practical advice to follow during an acquisition, 2006-05-17
The 1980s saw the beginning of the greatest merger boom in history. Year after year, the number of mergers and acquisitions climbed. Mergers between large companies make headlines, but companies of any size may find it beneficial to engage in mergers and acquisitions. Author H. Lee Rust explains the basics of acquisitions in clear, simple prose for companies that are too small to make the evening news. His book will be most useful to small- and medium-sized firms whose leaders lack experience in acquisitions. He provides sound, practical advice, easy-to-use checklists, and a CD-ROM workbook with spreadsheets, calculations, sample letters and more. If you manage a small company, we suggest reading this book before you get involved in your first acquisition.

From initial queries and exchanges of information to understanding common pitfalls, LET'S BUY A COMPANY covers all aspects of the acquisition process using language and insights newcomers to the process can appreciate and readily understand.
