Proxy Fight

Proxy Fight Definition

A strategy when a group of shareholders are persuaded to gather enough shareholder proxies to win a corporate vote. This occurs mainly in connection with hostile takeovers. In this case the acquiring company attempts to convince existing shareholders to vote out company management and install new management that is open to the takeover.

A proxy fight may also occur when some of the shareholders oppose the corporation's management.
